We operate across WhatsApp, Telegram, email, and a native mobile app—meeting users where they already communicate, not forcing them into yet another tool. Built around a proprietary dual-memory architecture—“The Park” for knowledge memory and “The Office” for actionable memory—Memorae captures information from conversations, transforms it into structured knowledge, and proactively delivers the right information at the right moment. We are building the memory layer above all your apps. In just 14 months since launch, Memorae has reached over 200,000 users, backed by a recently closed Seed round led by a top US-based venture fund. We are experiencing strong growth in both user adoption and engagement, with a well-positioned runway and a clear path to our next institutional fundraise. The company operates as a Delaware C-Corp headquartered in Andorra la Vella, with engineering operations in New Delhi and a growing distributed team across Europe and Latin America. If you want to join a rocketship before it becomes obvious, this is the moment. The Role The Head of Corporate is the CEO’s right hand—the operational backbone of Memorae. You own everything that allows the company to function, scale, and stay compliant as it grows through its next phase. This is not a support role. This is the person who builds and runs the corporate infrastructure that makes a fast-scaling, multi-geography company work. You are the single owner of legal affairs, human resources, corporate administration, stakeholder coordination, and corporate strategy execution. You manage the external legal counsel relationship, the people & administration team, and ensure that every corporate process—from hiring contracts across jurisdictions to board reporting to regulatory compliance—is tight, professional, and investor-ready. Key ResponsibilitiesCorporate Strategy & CEO Support • Serve as the CEO’s operational right hand, translating strategic decisions into corporate execution, • Own the corporate calendar: board meetings, investor reporting, regulatory deadlines, corporate milestones, • Prepare board materials, investor updates, and corporate communications, • Coordinate cross-functional strategic initiatives that span multiple departments, • Manage relationships with key stakeholders: investors, board members, advisors, and strategic partnersLegal Affairs, • Own the relationship with external legal counsel, • Manage all corporate legal matters: entity structuring, IP protection, data privacy compliance (GDPR, CCPA), terms of service, employment law across jurisdictions, • Oversee contract management: vendor agreements, partnership contracts, NDAs, employment agreements, • Ensure legal readiness for institutional due diligence: cap table cleanliness, corporate governance, regulatory compliance, • Navigate multi-jurisdiction complexity: US entity, European operations, India engineering, contractor relationships across multiple geographiesPeople & Human Resources, • Own the full employee lifecycle: hiring processes, onboarding, performance management, offboarding, • Build and maintain HR infrastructure: employment contracts, contractor agreements, benefits administration, payroll coordination, • Develop people policies appropriate for a scaling startup: remote work, compensation frameworks, equity administration, cultural principles, • Manage the administration and HR team, ensuring operational excellence in day-to-day people operations, • Coordinate hiring across geographies: salaried employees in Andorra, contractors in Spain, full-time staff in India, freelancers across LATAM and TurkeyCorporate Administration, • Ensure all corporate entities are properly maintained: filings, registered agents, annual reports, tax compliance coordination, • Own corporate tooling and process infrastructure: document management, signing workflows, corporate knowledge base, • Manage office and operational logistics across headquarters and remote teams, • Build the administrative processes that allow Memorae to pass institutional-grade due diligence What Success Looks Like • Institutional due diligence is seamless—every corporate document, contract, and compliance item is organized, current, and accessible, • The CEO spends zero time on corporate operations, legal coordination, or HR administration, • Every new hire across any jurisdiction has a signed contract within 48 hours of offer acceptance, • Board members and investors receive proactive, professional communications without CEO involvement, • The company scales its team significantly without corporate infrastructure becoming a bottleneck Requirements • 5+ years in corporate operations, chief of staff, or head of operations roles at a startup or high-growth company, • Direct experience managing multi-jurisdiction corporate structures (EU + US entity management is strongly preferred), • Proven track record working directly with a CEO and managing external legal counsel, • Experience preparing companies for institutional fundraising, • Strong understanding of employment law across at least 2 jurisdictions, • Experience building HR and corporate processes from scratch in a scaling environment, • Fluent in English; Spanish and/or Catalan is a strong plus, • Exceptional organizational rigor—you are the person who never drops a thread, • Comfortable operating in ambiguity with high autonomy Location & Employment Structure • Andorra la Vella (salaried position with Andorran fiscal benefits — preferred), • Barcelona, Spain (contractor / autónomo arrangement)
