About the role: The In-House Corporate Attorney will be responsible for managing all corporate legal matters, ensuring effective corporate governance, and supporting the structuring of various business transactions. This position will work closely with senior management, internal teams, and external counsel to provide strategic legal guidance on corporate governance, compliance, mergers & acquisitions (M&A), and other corporate finance transactions. Responsibilities: Corporate Governance: • Provide legal counsel on corporate governance matters, including board and shareholder meetings, resolutions, bylaws, and compliance with relevant corporate laws and regulations., • Help advise the Board of Directors, executive management, and senior leadership on corporate governance best practices, fiduciary duties, and compliance with corporate law requirements., • Lead or support the structuring, negotiation, and execution of a variety of business transactions, including mergers, acquisitions, joint ventures, strategic partnerships, and investments., • Provide strategic advice on deal structures, terms, and conditions to ensure favorable outcomes and minimize legal risk., • Review, draft, and negotiate transaction documents such as purchase agreements, term sheets, investment agreements, and shareholder agreements., • Ensure compliance with applicable corporate laws, securities regulations, and other industry-specific regulatory requirements., • Assist in maintaining compliance with federal, state, and international laws that affect corporate operations, governance, and transactions., • Provide legal guidance on day-to-day corporate operations, including business formation, internal policies, contracts, and other legal issues related to corporate structure., • Review and draft corporate contracts, including vendor agreements, customer contracts, service agreements, non-disclosure agreements (NDAs), and partnership agreements., • Assess and mitigate legal risks related to corporate transactions, governance issues, and operational activities., • Identify potential legal risks associated with business operations and advise on strategies to reduce exposure to legal liability., • Assist in preparing board meeting agendas, presentations, and minutes., • Juris Doctor (JD) degree from an accredited law school., • Minimum of 10 years of experience as a corporate attorney, ideally in-house at a corporation or law firm with a focus on corporate governance, M&A, and transactional work., • Strong understanding of corporate law, governance best practices, and relevant regulatory frameworks., • Proven experience with structuring and negotiating corporate transactions, including mergers, acquisitions, joint ventures, and investment deals., • Experience advising boards of directors and senior management on corporate governance and fiduciary duties., • Excellent drafting and negotiation skills for various corporate agreements and documents., • Ability to think strategically, providing practical legal solutions to business challenges., • Strong business acumen and the ability to understand and address complex business needs and opportunities., • Competitive compensation packages, • 401k with company match, • Medical, dental, vision plans, • Generous vacation policy, plus holidays The estimated starting salary range for this role is $176,000 - $204,000 annually less applicable withholdings and deductions, paid on a semi-monthly basis. The actual salary offered may vary based on relevant factors as determined in the Company's discretion, which may include experience, qualifications, tenure, skill set, availability of qualified candidates, geographic location, certifications held, and other criteria deemed pertinent to the particular role.
