Job Description Position Overview The General Counsel will serve as the chief legal officer for the company, with primary responsibility for overseeing all legal, regulatory, and compliance matters across the business. This role is especially focused on utility-scale and distributed solar energy projects, tax equity structures, and the monetization of investment tax credits (ITCs), as well as complex project and corporate contracts. Key Responsibilities • Advise the CEO, Board, and executive leadership on US, global legal and regulatory risks, opportunities, and strategies., • Contribute to high-level business decisions involving mergers, acquisitions, joint ventures, and corporate restructuring., • Serve as a trusted strategic partner in shaping business initiatives and global expansion plans., • Manage and oversee all corporate legal matters including contracts, intellectual property, data privacy, employment law, and litigation., • Ensure legal compliance adapting strategies to local jurisdictions and regulations., • Lead, structure, and negotiate project finance transactions, including tax equity, ITC transfer transactions, construction and term debt facilities, and corporate credit facilities., • Advise on all aspects of federal tax incentives for solar (including ITCs and related guidance such as “beginning of construction,” prevailing wage, and domestic content requirements) and coordinate with tax advisors on transaction structures., • Draft, review, and negotiate key project and commercial contracts, including power purchase agreements, equipment supply and warranty agreements, EPC and construction contracts, O&M agreements, interconnection agreements, and development services agreements., • Advise on all aspects of federal tax incentives for solar (including ITCs and related guidance such as “beginning of construction,” prevailing wage, and domestic content requirements) and coordinate with tax advisors on transaction structures., • Draft, review, and negotiate key project and commercial contracts, including power purchase agreements, equipment supply and warranty agreements, EPC and construction contracts, O&M agreements, interconnection agreements, and development services agreements., • Oversee site control and real estate aspects of solar projects, including leases, easements, options, title review, and related land-use and permitting documentation., • Support M&A and portfolio transactions involving solar and other renewable assets, including due diligence, purchase and sale agreements, and post-closing integration., • Manage legal aspects of tax equity and ITC transfer diligence, disclosure schedules, and closing deliverables, coordinate data rooms and responses to investor and lender requests., • Develop and maintain corporate governance policies, board and committee processes, and equity/financing documentation, ensuring compliance with applicable corporate laws and investor requirements., • Establish and maintain a compliance framework for energy regulatory requirements (including applicable FERC, state utility commission, and local zoning/permitting regimes as relevant to the business model)., • Develop policies to ensure ethical corporate behavior and compliance with both internal and external governance standards., • Oversee corporate governance, ensuring Board adherence to fiduciary responsibilities., • Maintain compliance frameworks for international trade, sanctions, anti-bribery laws (FCPA, UK Bribery Act), and data protection (GDPR, CCPA, etc.)., • Support internal audit and risk management teams in identifying and mitigating legal risks., • Supervise drafting, reviewing, and negotiation of high-value contracts, supplier agreements, and strategic partnerships., • Guide corporate transactions such as mergers, acquisitions, and financing deals, ensuring legal and regulatory compliance., • Select, manage, and coordinate external counsel, controlling costs while ensuring quality legal support. Education: • Juris Doctor (JD) or international equivalent (LL.B./LL.M.) from an accredited law school., • Admission to practice law and in good standing in at least one major jurisdiction. Experience: • 10+ years of legal experience, including substantial time at a top-tier law firm and/or in-house at a renewable energy, infrastructure, or energy finance platform., • Significant experience with project finance for solar projects, including tax equity and debt financing, and familiarity with common structures (partnership flips, sale-leasebacks, inverted leases, ITC transfers)., • Prior experience as a senior in-house counsel, preferably in a global or publicly traded company., • Demonstrated expertise in corporate, regulatory, and compliance law, ideally across multiple jurisdictions., • Experience overseeing mergers & acquisitions, intellectual property, data privacy, and litigation management., • Working knowledge of federal investment tax credits for solar, including recent legislative developments and IRS guidance affecting ITC monetization and transferability., • Experience overseeing real estate aspects of renewable projects, including leases, easements, title, and permitting, or working closely with specialists in these areas., • Proven ability to operate as a business-oriented partner, balancing risk and commercial objectives in a fast-growing, entrepreneurial environment., • Strong leadership skills, with prior experience managing outside counsel and, preferably, a small internal legal team., • Direct experience with community solar, C&I distributed generation, or utility-scale solar, including specific contract and regulatory nuances for those segments., • Familiarity with energy storage projects and related tax credit and financing structures.
