The Team : The Central Legal team is a diverse and international team of 15 enthusiastic lawyers with M&A, IP, compliance, financing and corporate backgrounds. As part of the Central Legal Team, the Corporate Legal team is a hands-on team supporting a wide range of corporate matters across the world which focuses on providing robust business-oriented advice and support on global legal matters. Essential business partners, they support central management, central teams and local teams within the Banijay footprint. What we are looking for : For the Corporate Legal team, based in Paris, we are looking for an enthusiastic Legal Counsel – Corporate with a strong corporate legal background and a flexible, innovative, open-minded, business-oriented and friendly approach. You will have the unique opportunity to be part of a world class legal team which consist of the Manager Legal Corporate, a Legal Counsel, a junior Legal Counsel (based in Amsterdam) and a Paralegal (based in Paris). Your responsibilities : As part of the day-to-day business, you will: • Manage the corporate housekeeping of around 25 French entities (including holding companies), ensuring full compliance with French corporate requirements which includes in particular:, • Oversee the approval and filing of annual financial statements, including coordination of shareholder meetings and preparation of related documentation (resolutions, minutes, etc.)., • Prepare management reports in connection with annual accounts and other statutory filings., • Coordinate with external counsel and internal stakeholders, • ensure timely completion of corporate formalities, • Manage shareholder-related matters, including share plans, warrants, and capital changes, • Maintain accurate statutory records and ensure all registers, delegations of authority, and filings are kept up to date., • Maintain and update intragroup and corporate agreements and assist with renewals or terminations in collaboration with finance teams., • Prepare and renew delegations of authority for group executives, ensuring consistency and compliance with internal policies., • Support group-wide corporate (governance) projects, including reorganizations (merger, spin-off, capital increase or reduction, assets transfer or contribution..), data collection, and internal reporting., • Contribute to the maintenance of group databases and data rooms with accurate corporate information., • Support the integration of newly acquired entities into the group’s corporate structure and governance framework., • Act as the group contact point for several territories, ensuring group policy compliance and provide support on governance and corporate matters. Your profile : • Master’s degree in Law and qualification to practice under French company law., • 3–5 years of professional experience in corporate law, preferably in an international group or law firm., • Solid knowledge of French corporate law and company secretarial requirements., • Strong drafting, organizational, and coordination skills, with attention to detail., • Ability to manage multiple entities and priorities independently., • Fluent in English and French, both written and spoken., • A curious mindset with international focus., • Eager to learn in a dynamic environment., • Positive team player & self-motivated to work independently, seeking direction and guidance as appropriate., • Regular travel between Amsterdam HQ and Paris HQ may be required.
