Job DescriptionIn-House Corporate Governance Paralegal / Legal Specialist Temp-to-Hire | In-House Legal Department | Hybrid | Chicago, IL Our client is seeking an In-House Corporate Governance Paralegal / Legal Specialist on a temp-to-hire basis to support its internal legal department. This role will focus on corporate governance, SEC compliance, annual filings, and board support for the company and its subsidiaries. This is an excellent opportunity for a corporate or securities paralegal seeking long-term, in-house growth. Key Responsibilities • Provide in-house corporate governance support for the company and its subsidiaries, • Prepare, coordinate, and assist with SEC filings, including Form 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings (as applicable), • Manage and track annual corporate filings and ongoing entity compliance requirements, • Prepare and maintain board and committee materials, including agendas, minutes, resolutions, consents, and board books, • Maintain and organize corporate records, minute books, and entity management systems, • Support board and shareholder meetings, including preparation, execution, and post-meeting follow-up, • Partner with internal teams (Finance, Tax, HR) and coordinate with outside counsel as needed, • Provide general support to the in-house legal department on corporate and governance mattersQualifications, • 3+ years of experience in corporate governance, securities, or corporate paralegal work, • Prior in-house experience strongly preferred (law firm experience with significant governance/SEC exposure considered), • Experience assisting with SEC filings and public company reporting, • Experience supporting boards and senior leadership, • Familiarity with annual filings, entity maintenance, and compliance calendars, • Highly organized, detail-oriented, and deadline-driven, • Proficiency with Microsoft Office; experience with SEC EDGAR and entity management platforms is a plusCompensation & Benefits, • Hourly rate: Approximately $43-$53 per hour, depending on experience, • Benefit offerings include medical, dental, vision, life insurance, short-term disability, additional voluntary benefits, EAP, commuter benefits, and a 401(k) plan, • Paid leave may include Paid Sick Leave (where required by law), any other paid leave required by federal, state, or local law, and paid holidays upon meeting eligibility requirementsWhy This Role, • Opportunity to gain long-term, in-house experience with a reputable organization, • Broad exposure to corporate governance and SEC matters, • Collaborative legal department with cross-functional interactionPay Details: $43.00 to $53.00 per hour Search managed by: Katie Soderberg Benefit offerings available for our associates include medical, dental, vision, life insurance, short-term disability, additional voluntary benefits, EAP program, commuter benefits and a 401K plan.
