Company Secretary & Administration Role Overview The Company Secretary and Administration Officer plays a key role in ensuring the smooth and compliant operation of the business. This role combines governance, compliance, and administrative support to help the company meet legal requirements, maintain accurate records, and run day-to-day operations efficiently. Key Responsibilities Company Secretarial Duties Ensure the company complies with statutory and regulatory requirements (e.g., Companies House filings). Prepare and maintain statutory registers (directors, shareholders, etc.). Organise and record Board and shareholder meetings, including preparing agendas, taking minutes, and distributing documentation. File annual returns, confirmation statements, and resolutions with the relevant authorities. Support directors in understanding their corporate governance obligations. Maintain company policies and records to meet legal and ethical standards. Administrative Duties Manage day-to-day office administration, including scheduling, correspondence, and document management. Handle emails, phone calls, and enquiries in a professional manner. Maintain and update company databases and filing systems. Support the HR function with employee records and onboarding documentation. Liaise with suppliers, service providers, and external partners as needed. Assist with financial administration such as processing invoices, expenses, and basic bookkeeping (if applicable). Provide administrative support to management and other departments to ensure smooth workflow. Skills & Qualifications Strong understanding of corporate governance and compliance. Excellent organisation, communication, and attention to detail. Proficiency in Microsoft Office / Google Workspace. Discretion and confidentiality in handling sensitive information. Ability to multi-task and prioritise effectively. (Optional) ICSA/CGI qualification or experience in a similar role is desirable.
