Job Title: General Counsel Reports To: CEO and Owner Location: Dallas, TX Employment Type: Full Time/Exempt Role Overview Bluejack’s General Counsel will play a critical role in enabling the enterprise’s growth and ensuring growth and operations occurs in accordance with the highest standards. This job description outlines the essential duties of the role. The General Counsel serves as Bluejack’s chief legal advisor and a strategic business partner to executive leadership. This role will require balancing legal rigor with commercial judgment—providing clear guidance, managing risk, and helping the business move forward decisively. The ideal candidate understands development, capital structures, operations, and governance, and is comfortable operating in a fast-moving, entrepreneurial environment where practical solutions matter. Core Responsibilities Enterprise Legal Leadership • Serve as the primary legal advisor to the CEO, executive team, and Board, • Provide clear, practical legal guidance aligned with business objectives, • Establish a legal strategy that supports growth while protecting enterprise value, • Exercise sound judgment, balancing risk tolerance with commercial opportunity and knowing when to escalate matters for further guidance Real Estate & Development • Lead legal oversight for acquisitions, dispositions, entitlements, zoning, and land use; draft, negotiate and manage related legal documentation, • Advise on environmental, permitting, and regulatory matters Private Equity, Finance & Capital Markets • Understand and guide private equity sponsorship, investor relationships, and fund structures, • Review and advise on financing documents, loan agreements, guarantees, and security instruments, • Support transactions including refinancings, recapitalizations, and exits Hospitality, Club & Operating Entities • Familiarity with operational legal matters related to private clubs, membership structures, and hospitality operations; liaise with outside counsel relating to same, • Draft and oversee contracts with management companies, vendors, and service providers, • Support compliance with applicable regulations, licenses, and operational requirements Corporate Governance & Compliance • Oversee corporate structure, entity management, and governance across all subsidiaries and SPVs, • Manage Board materials, resolutions, and governance documentation, • Establish and maintain compliance programs and internal controls, • Oversee policies related to ethics, conflicts, and risk management Litigation & Risk Management • Manage litigation, claims, and disputes, including selection and oversight of outside counsel, • Oversee insurance coverage, claims management, and risk transfer strategies, • Handle employment-related legal matters in partnership with Human Resources Contracts & Commercial Matters • Review, draft, and negotiate a broad range of commercial contracts and establish contract standards, templates, and approval processes Team & External Counsel Management • Select, manage, and evaluate outside counsel and advisors, while building and managing internal legal resources to control legal spend and ensure cost-effective outcomes What Success Looks Like at Bluejack • Legal issues are addressed early, clearly, and pragmatically, • Transactions move efficiently without unnecessary friction, • Risk is understood, managed, and appropriately priced—not avoided blindly, • Leadership trusts legal guidance as business-minded and solutions-oriented, • Governance, documentation, and compliance are consistently strong Experience & Qualifications • Juris Doctor (JD) from an accredited law school; active bar membership in Texas, • 10+ years of experience in real estate, development, private equity, or complex commercial matters, • Experience at a top law firm and/or in-house role with a developer, PE firm, or operating platform, • Strong background in real estate transactions, financing, and corporate governance, • Proven ability to operate independently and advise senior leadership, • Excellent judgment, communication skills, and business acumen Bluejack Leadership Attributes • Stewardship mindset — treats capital and risk as if it were their own, • Business partner — understands how the company makes money, • Decisive and pragmatic — offers solutions, not just issues, • High integrity and discretion — trusted with sensitive matters, • Calm under pressure — especially in complex or high-stakes transactions General Counsel | Private Equity–Backed Real Estate & Hospitality Platform Bluejack is a private equity–backed real estate and hospitality platform developing and operating high-quality residential communities and private clubs. We are seeking an In-House General Counsel to serve as a strategic business partner to executive leadership and the Board. This role is responsible for protecting enterprise value while enabling disciplined growth. The General Counsel will provide pragmatic, commercially minded legal leadership across real estate development, private equity transactions, financing, governance, and operations.
