Position Summary. Build, lead, and scale Cloud7Works' federal contracting function across civilian and DoD/DoW programs. A high-visibility, hands-on leadership role owning the full cradle-to-grave lifecycle of U.S. Government prime contracts and subcontracts, and serving as senior contractual advisor to the CEO, BD, Capture, and Program Management. Deep FAR/DFARS expertise required, with hands-on experience across GSA MAS, STARS III, OASIS+, MDA SHIELD, agency IDIQs/BPAs, and where applicable OTAs (10 U.S.C. 4022). Balances compliance rigor with operational speed in a fast-moving 8(a) small business building infrastructure from the ground up. Key Responsibilities • Contract Lifecycle Ownership — Lead cradle-to-grave management of federal prime contracts and subcontracts across civilian and DoD/DoW agencies; partner with BD/Capture on pre-award strategy, solicitation analysis, pricing, teaming, and deal construct; monitor performance, deliverables, modifications, funding, invoicing, and cost allowability; maintain audit-ready files., • Contract Strategy & Executive Advisory - Shape contracting and pricing strategy aligned to growth objectives and the 8(a) lifecycle; lead negotiation of complex agreements, task orders, and modifications; advise on prime vs. sub positioning, joint ventures, and mentor-protégé constructs; build credible relationships with COs, COTRs, prime contractors, and strategic teaming partners., • Government Contract Execution — Negotiate and administer FFP, T&M, Labor-Hour, and CPFF/CPIF contracts; IDIQ master contracts, task orders, BPAs/call orders; GWAC/MAC task orders under SHIELD and similar vehicles; OTAs for prototype/R&D; subcontracts, teaming agreements, NDAs, MOUs, and strategic partnership agreements. Interface directly with COs as authorized negotiator., • Vehicle Administration (GSA MAS / STARS III / OASIS+ / SHIELD / Agency IDIQs) — End-to-end vehicle administration including on-ramps, option exercises, labor category and rate maintenance, vehicle-level modifications, mass mods, refresh acceptance, SIN management (additions/deletions, new labor categories and pricing), and ongoing CO/PCO engagement., • GSA MAS Pricing Management — Own CSP disclosures, PRC tracking and MFC monitoring, EPA submissions, ceiling rate maintenance, TDR / sales reporting, and competitive rate positioning across SINs and labor categories., • Pricing & Proposal Support — Partner with Capture, BD, Finance, and Proposals on rate build-up, wrap rate analysis, competitive positioning, discount strategy, price-to-win inputs, and Basis of Estimate (BOE) review; interpret RFPs/RFIs/RFQs, Sources Sought, and BAAs for risk, compliance obligations, evaluation criteria, and competitive positioning., • Compliance & Risk Management — Ensure compliance with FAR, DFARS, and civilian supplements (HHSAR, HSAR, DOI, DOC, DoN); SBA 8(a) program requirements — size standards, limitations on subcontracting (FAR 52.219-14), annual certifications; NIST SP 800-171, CMMC, FedRAMP-relevant clauses, Section 889, Buy American / TAA, and ITAR/EAR as applicable; manage supply chain and flow-down to subs/vendors; ensure audit readiness for DCAA, DCMA, GSA IOA, and OIG reviews; administer SAM.gov, reps & certs, and NAICS maintenance across vehicles., • Legal Interface & Contractual Risk — First-line contractual-legal reviewer on prime contracts, subcontracts, teaming agreements, NDAs, MOUs, vendor/reseller agreements, SaaS/EULA and data-rights terms, and MSAs; assess indemnification, limitation of liability, IP/data rights, warranty, termination, dispute resolution, and choice-of-law; manage outside counsel; lead REAs, CDA claims, terminations (convenience/default), cure and show-cause responses, and bid protest support; advise CEO on FCA, mandatory disclosure, OCI, suspension/debarment, and ethics exposure; maintain clause library, playbook, and signature authority matrix., • Workforce Composition Advisory — Advise HR and Finance on contractual and pricing impacts of W-2 (FT/PT), 1099 independent contractors, and Corp-to-Corp subcontracted labor: bill vs. pay rate economics, fringe/overhead absorption, wrap rate effects, SCLS/SCA wage determinations, limitations on subcontracting, and 1099 vs. W-2 classification risk under IRS and FAR standards; review independent contractor, consulting, staff augmentation, and recruiter/staffing MSAs alongside HR and Legal., • Cross-Functional Alignment — Partner with Delivery, PM, Finance, HR, Legal, and Security to ensure contract terms reflect technical delivery, staffing approach, IP and data-rights strategy, cybersecurity obligations, and funding constraints; coordinate on DCAA-compliant cost accounting, indirect rate management, invoicing, and revenue recognition; support recruiting on incumbent capture and clearance needs. Qualifications: Required • 10–15 years progressive U.S. Government contracting experience across both civilian and DoD/DoW programs, with demonstrated cradle-to-grave ownership of complex federal contracts., • Expert FAR/DFARS knowledge; strong working knowledge of NIST SP 800-171/CMMC, Section 889, supply chain and flow-down requirements, and audit/close-out processes., • Direct, hands-on administration of one or more of: GSA MAS, 8(a) STARS III, OASIS/OASIS+, MDA SHIELD, or comparable GWAC/MAC vehicles., • Experience across FFP, T&M, CPFF, IDIQ task orders, BPAs, and subcontracts; hands-on federal pricing — GSA MAS (CSP, PRC, EPAs), rate build-up, wrap rate analysis, and proposal/task order pricing support., • Demonstrated first-line contractual-legal review on commercial agreements; ability to identify legal-risk issues for escalation and manage outside counsel; working knowledge of indemnification, LoL, IP/data rights, FCA exposure, OCI, REAs, CDA claims, terminations, and bid protests., • Experience with commercial IP, data rights, SaaS/EULA terms, and treatment of contractor proprietary tools and accelerators under federal contracts., • Hands-on with SAM.gov, WAWF/iRAPT, PIEE, eSRS, and GSA eMod / GSA Advantage where applicable; ability to track deliverables, cost, and schedule with Program Management., • Small business / scale-up experience with the ability to build processes from the ground up; strong commercial acumen; excellent negotiation and stakeholder management with senior government officials and prime contractor counterparts, • U.S. Citizenship required. Preferred • Working knowledge of SBA programs (8(a) BD, HUBZone, WOSB/EDWOSB) and mentor-protégé / JV constructs; former 1102 Contracting Officer or agency-side acquisition experience., • Hands-on support to HHS, Navy, DoW, USGS, or comparable customers; familiarity with IC contracting (DIA, NGA, etc.) and OTAs under 10 U.S.C. 4022., • Certifications: NCMA CFCM/CPCM/CCCM or DAWIA.
