They are seeking a highly skilled, commercially minded Associate General Counsel to join their Legal & Operations team. As a trusted advisor to company leadership, you will help guide some of the most important strategic and operational decisions across the business. In this role, you will work closely with our General Counsel, outside counsel, and company leadership to manage a wide range of legal matters. Your work will span complex commercial agreements, land acquisitions and dispositions for data center developments and co-located power facilities, major equipment procurement and leasing, engineering, procurement and construction (EPC) contracts, and the negotiation of strategic partnerships. Responsibilities • Draft, review, and negotiate a wide range of commercial agreements central to data center and energy infrastructure development., • Develop contract structures that balance legal protection with commercial flexibility., • Serve as the primary legal point of contact for procurement, vendor relationships, and service agreements., • Lead legal due diligence for land acquisitions, dispositions, and leasing transactions., • Review and negotiate purchase and sale agreements, easements, access rights, and land-use documents., • Partner with development, engineering, and operations teams to ensure early-stage projects move efficiently through evaluation and execution., • Structure and negotiate agreements for on-site and generation facilities., • Support fuel procurement (natural gas), transportation, and supply arrangements., • Manage legal components of interconnection, grid services, and permitting pathways., • Draft and negotiate EPC, construction, major equipment procurement, and related project agreements., • Manage risk allocation, performance guarantees, LDs, insurance provisions, and warranty obligations., • Ensure alignment between legal terms, engineering requirements, and construction schedules., • Advise on federal, state, and local regulatory requirements affecting power generation and data center development., • Support interconnection applications, permitting strategies, and compliance documentation., • Interface with regulatory agencies, utilities, and market operators as needed., • Support corporate governance, board processes, and internal policy development., • Assist with entity formation, corporate structuring, and maintenance of corporate records., • Provide legal guidance on strategic partnerships, joint ventures, and equity investments., • Participate in legal oversight for acquisitions, divestitures, or joint development opportunities., • Work with internal and external counsel on financing arrangements including construction financing, debt placements, or project-level capital., • Support due diligence activities for corporate and project transactions., • Identify legal, regulatory, and contractual risks, and recommend mitigation strategies., • Develop and implement internal legal processes, templates, and best practices as the company scales., • Support insurance, claims management, and dispute resolution where necessary., • Act as a trusted advisor to leaders across development, engineering, energy markets, operations, finance, and executive teams., • Manage outside counsel across real estate, regulatory, litigation, environmental, and transactional matters. Minimum Qualifications • Juris Doctor (JD) from an accredited U.S. law school., • Active bar membership in at least one U.S. jurisdiction, with the ability to obtain in-house registration where required., • 5–7+ years of post-qualification legal experience, ideally in a combination of major law firm and in-house environments., • Experience in the energy, digital infrastructure, or broader infrastructure sectors with exposure to at least one of the following core areas:, • Electric energy and capacity transactions, • Natural gas procurement, transportation, or supply contracts, • Tolling, revenue, or offtake agreements, • Utility interconnection processes and permitting, • M&A involving energy or infrastructure assets, • Large-scale project development (data centers, energy projects, transmission, etc.), • Project finance (construction financing, tax equity, structured finance, etc.) Preferred Qualifications • Experience at a top-tier law firm (AmLaw 100 or equivalent)., • Prior in-house counsel experience at an energy, infrastructure, or technology company., • Working knowledge of ISO/RTO markets, interconnection processes, or utility permitting pathways., • Familiarity with data center development, hyperscale requirements, or digital infrastructure assets., • Environmental law exposure, especially around air, water, emissions, or NEPA-related processes., • Experience supporting companies through rapid scaling, fundraising, or major capital commitments.
