An elite U.S. law firm is seeking a U.S. Tax Associate or Senior Associate to join its London office in Q2. This role sits within a highly regarded cross-border tax practice with a strong sovereign and private capital focus, advising on complex inbound U.S. investments, fund structuring, sponsor-side transactions, and private credit matters. The team acts for sovereign wealth funds, institutional investors, and leading sponsors on sophisticated, high-value transactions across multiple asset classes. The Role You will play a central role in advising on technically demanding, commercially significant cross-border matters, including: Sovereign & Institutional Investor Advisory • Advising sovereign wealth funds, pension funds, and other state-linked institutional investors on U.S. tax aspects of cross-border investments., • Structuring tax-efficient inbound investments into the United States across a range of asset classes., • Providing guidance on FIRPTA, ECI, withholding regimes, treaty access, and blocker structures., • Leading U.S. tax structuring for inbound acquisitions of U.S. targets., • Advising on acquisition financing structures, hybrid instruments, and repatriation planning., • Conducting U.S. tax due diligence and negotiating tax provisions in transaction documentation., • Structuring U.S. and offshore private funds with a focus on tax-efficient solutions for global LP bases., • Advising on GP/LP structuring, carried interest, and management incentive arrangements., • Designing and implementing master-feeder and parallel fund structures., • Advising sponsors on yield-focused platforms and structured return strategies., • Structuring investments in private credit, hybrid capital, preferred equity, and structured finance products., • Counselling on the tax implications of debt funds and alternative credit vehicles., • Structuring private credit investments and cross-border lending arrangements., • Advising on fund-level and asset-level leverage., • Providing tax input on CLO-style vehicles, structured lending platforms, and secondary credit transactions., • Working closely with corporate, funds, and finance teams across London and U.S. offices., • Supervising junior lawyers and contributing to internal knowledge development., • Participating in client development initiatives and maintaining strong client relationships. Qualifications • U.S. JD and admission to at least one U.S. state bar., • 4–8+ years’ experience at a leading international law firm., • Strong technical grounding in cross-border U.S. tax structuring., • Experience advising sovereign investors and/or major institutional sponsors preferred., • Deep familiarity with inbound M&A and private fund structuring., • Commercially astute, proactive, and comfortable operating in a fast-paced international environment., • Excellent drafting, negotiation, and client management skills.
