Job Description The Corporate Paralegal supports Mactac's Executive team and key company departments by managing legal documentation, ensuring compliance, and handling corporate governance. Responsibilities include: • Maintaining corporate records, minute books, organizational documents, and compliance calendars., • Drafting board and shareholder resolutions, meeting minutes, and related documentation., • Tracking annual reports, business licenses, and other compliance deadlines; coordinating required filings., • Assisting with filings related to state registrations, regulatory disclosures, and compliance certifications., • Reviewing and revising standard agreements (NDAs, vendor agreements, amendments, etc.)., • Maintaining the contract management database and ensuring accurate documentation., • Monitoring contract lifecycle milestones, renewals, and expirations, and coordinating signatures, approvals, and archival of completed contracts., • Assisting with drafting and editing corporate policies and standard corporate operating procedures., • Maintaining litigation files and calendars, and assisting with discovery tasks, hold notices, and coordinating document production as needed., • Filing and renewing trademarks and patents within North America., • Managing Executive schedules, travel, and meeting logistics, and handling administrative duties for Executive staff as requested., • Serving as the Concur system administrator for employee set-up, termination and training., • Supporting company events and logistics, as needed. Qualifications: • Associate's degree in Paralegal Studies or a related discipline is required. In lieu of a degree, a high school diploma and American Bar Association (ABA) recognized Paralegal Certification is required., • A minimum of 10 years prior relevant experience, including prior contract review experience, is required., • Should possess prior experience utilizing contract management software., • Prior experience filing and renewing trademarks and patents within North America is desirable., • Strong Microsoft Office experience, including skills in Word, PowerPoint and Excel, is required., • Detail-oriented with the ability to handle multiple tasks., • Excellent time management skills and able to prioritize work accordingly., • Self-manager of projects, deadlines, and time., • Effective communication skills – written, verbal, and interpersonal., • Ensures confidentiality of all company records (i.e. Legal, HR, Contracts, etc.) Scope: • Decision Impact: Company, • Budgetary (P&L) Responsibility: No, • Direct Reports: No, • Physical Requirements: Prolonged periods of sitting / standing at a desk and working on a computer., • Management Responsibilities Level: Individual Contributor, • Reports to: Chief Financial Officer (CFO), • Location: Stow, OH, • Travel: minimal, up to 5% Company Overview: Headquartered in Stow, Ohio, Mactac was founded as Morgan Adhesives Co. in 1959 by the late entrepreneur Burton (Burt) Morgan.
